Terms of Service

1. Acceptance of Terms

By accessing or using Piqlo ("the Service"), operated by PiqloLabs ("we", "us"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 16 years of ageto use Piqlo. By creating an account, you represent that you meet this age requirement. If you are between 16 and 18, you confirm that you have your parent or guardian's consent.

3. The Service

Piqlo provides a platform for creating, customizing, and tracking QR codes and NFC-linked smart URLs. We reserve the right to modify, suspend, or discontinue features with reasonable notice. We will notify you via email or in-app notice of material changes.

4. Accounts

You must provide accurate information when creating an account. You are responsible for maintaining the security of your account credentials and for all activity under your account. Notify us immediately at legal@piqlo.co if you suspect unauthorized access.

5. Acceptable Use

You agree not to use Piqlo to:

• Link to malicious, phishing, or illegal content
• Distribute malware, ransomware, or engage in fraud
• Create QR codes that redirect to deceptive or harmful destinations
• Violate intellectual property rights of third parties
• Abuse rate limits or attempt to circumvent security measures
• Scrape, bulk-extract, or reverse-engineer the Service
• Impersonate another person or entity
• Use the Service for any activity prohibited by applicable law

We reserve the right to deactivate QR codes, suspend accounts, or terminate access for violations of these terms without prior notice if the violation poses an immediate risk.

6. Payments & Subscriptions

Paid plans (Solo, Pro) are billed monthly or annually via Stripe. By subscribing, you authorize recurring charges at the then-current rate.

• Cancellation: You may cancel at any time. Access continues until the end of the current billing period.
• Downgrades: If you exceed the limits of a lower plan, existing QR codes remain active but you cannot create new ones until you are within limits.
• Refunds: Handled on a case-by-case basis. Contact legal@piqlo.co.
• Price changes: We will notify you at least 30 days before any price increase. Continued use after the effective date constitutes acceptance.

7. Intellectual Property

You retain ownership of the content you upload (logos, images). By uploading content, you grant PiqloLabs a limited license to process, store, and display it solely to provide the Service. We retain ownership of the Piqlo platform, branding, and all proprietary technology.

8. Data & Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your data. By using Piqlo, you acknowledge that you have read and understood the Privacy Policy.

9. Service Availability

We strive for high availability but do not guarantee uninterrupted access. Planned maintenance will be communicated in advance when possible. We are not liable for downtime, data loss, or service disruptions caused by factors beyond our control.

10. Termination

You may delete your account at any time via Settings > Delete Account. This permanently removes all your data.

We may suspend or terminate your account if you violate these Terms, with notice when feasible. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive (liability, governing law, disputes) will survive termination.

11. Limitation of Liability

To the maximum extent permitted by law, Piqlo is provided "as is" and "as available" without warranties of any kind. We are not liable for indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to loss of data, revenue, or business opportunities.

Our total aggregate liability for any claim related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or $50, whichever is greater.

12. Indemnification

You agree to indemnify and hold PiqloLabs harmless from any claims, damages, or expenses arising from your use of the Service, your content, or your violation of these Terms.

13. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email or in-app notice at least 14 days before they take effect. Continued use of the Service after changes constitutes acceptance. If you disagree with updated Terms, you may delete your account before they take effect.

14. Governing Law & Disputes

These Terms are governed by the laws of Germany, without regard to conflict of law principles. Any disputes arising from or related to the Service shall be subject to the exclusive jurisdiction of the courts in Frankfurt am Main, Germany.

For EU consumers: nothing in these Terms affects your statutory rights under applicable consumer protection laws. You may also use the EU Online Dispute Resolution platform at ec.europa.eu/consumers/odr.
